These Terms of Service (“Terms”) constitute a legally binding agreement between you (“the User” or “Customer”) and OP Design and Marketing Limited (“the Company,” “we,” “us,” or “our”), a registered company in New Zealand (Company Registration Number: 4053558 / NZBN: 9429030480605), regarding your purchase and use of our virtual landing page templates via www.solarasite.com.
Our digital services and pre-made virtual assets are primarily marketed and optimized for corporate and individual clients located within the European region. By accessing our website or purchasing any digital product, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. One-Time Purchase & Instant Digital Delivery
- Nature of Service: All transactions executed on solarasite represent standard, one-time purchases of pre-made virtual products (digital templates). The Company does not offer or engage in custom software development, ongoing subscription modifications, or tailored bespoke design services.
- Delivery Mechanism: Because our products consist entirely of virtual digital assets, no physical shipments, tracking numbers, or logistics courier documentation will be issued. Upon successful payment confirmation via our secure third-party payment processor, the digital template is immediately made available for download or delivered instantly to your designated email address.
2. Immediate Execution & Waiver of the 14-Day Right of Withdrawal
In strict accordance with Article 16(m) of the EU Consumer Rights Directive (2011/83/EU) regarding the supply of digital content not supplied on a tangible medium:
- Statutory Notice for European Customers: By finalizing your commercial transaction and initiating the download or digital access of our templates, you express your explicit prior consent to immediate digital performance. You explicitly acknowledge and agree that once the digital delivery process commences, you waive your statutory 14-day right of withdrawal (the right to a refund without giving any reason).
- Finality of Sale: All purchases of our virtual landing page templates are deemed final, non-exchangeable, and non-refundable once the digital delivery has been executed by our system.
3. Limited Intellectual Property License
When you purchase a digital template from solarasite, you are acquiring a limited, revocable license to use the asset, not ownership of the underlying intellectual property.
- Retention of Rights: All underlying software source codes, website architectures, graphical interfaces, original visuals, artistic layouts, and media assets displayed on or built into our templates remain the exclusive intellectual property of OP Design and Marketing Limited.
- Scope of Limited License: We grant you a non-exclusive, non-transferable, revocable, and worldwide Limited License to Use the purchased template for your own official business website or landing page presentation.
- Strict Prohibitions: You are strictly prohibited from extracting, copying, decompiling, or reverse-engineering any code or graphic asset from our products. You may not resell, sub-license, redistribute, or use our proprietary assets in any standalone or competitive commercial project.
4. Third-Party Payment Processing & Dispute Resolution
- Secure Routing: All financial transactions are routed directly through our designated secure third-party payment infrastructure provider, Stripe. By conducting a purchase, you agree to comply with Stripe’s processing terms.
- Dispute Policy: In the event of a billing error or delivery issue, customers are required to contact our support channel at website@solarasite.com for administrative resolution. Unauthorized administrative escalations or groundless dispute initiations without prior consultation will result in the immediate revocation of the digital license granted under Section 3.
5. Governing Law and Jurisdiction
These Terms, along with any separate agreements whereby we provide you digital services, shall be governed by, interpreted, and construed in accordance with the laws of New Zealand. Any legal actions or disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of New Zealand.
